e.GO Announces Public Filing of a Registration Statement on Form F-4 in Connection With Its Proposed Business Combination with Athena Consumer Acquisition Corp. (NYSE American: ACAQ)

Next.e.GO Mobile SE (“e.GO”), an innovative producer of urban electric vehicles, today announced the filing of a registration statement on Form F-4 (the “Registration Statement”) with the U.S. Securities and Exchange Commission ("SEC") through a wholly-owned subsidiary of e.GO, Next.e.GO B.V. (“TopCo”). The Registration Statement includes a preliminary proxy statement/prospectus in connection with the proposed business combination (the “Business Combination”) between Athena Consumer Acquisition Corp. (NYSE American: ACAQ, ACAQ.U, ACAQ WS) (“Athena”) and e.GO.

Athena and e.GO announced a definitive business combination agreement (the “Business Combination Agreement”) on July 28, 2022. Completion of the proposed transactions is subject to customary closing conditions, including the approval of Athena’s stockholders. The proposed Business Combination will be effected through TopCo, whereby e.GO and Athena will become subsidiaries of TopCo.
