INDIANAPOLIS, Aug. 09, 2021 (GLOBE NEWSWIRE) -- Infrastructure and Energy Alternatives, Inc. (NASDAQ: IEA) (together with its subsidiaries except where the context otherwise suggests, “IEA,” “we,” “our,” “us” or the “Company”), announced that its wholly owned subsidiary, IEA Energy Services LLC (the “Issuer”), priced the previously announced offering (the “Notes Offering”) of $300.0 million aggregate principal amount of its 6.625% senior notes due 2029 (the “Notes”) on August 6, 2021. The Notes were priced at $98.485 per $100 principal amount and will be guaranteed on a senior unsecured basis by IEA and certain of its domestic wholly-owned subsidiaries. The Company expects that the closing of the Notes Offering will occur on August 17, 2021, subject to the satisfaction of customary closing conditions.
We intend to use the net proceeds from the Notes Offering to repay the balance outstanding under our term loan under our Third Amended and Restated Credit agreement and to pay for the redemption of a portion of our outstanding Series B Preferred Stock.
The Notes and related guarantees are being offered and sold, and documents relating to the Notes are only being distributed, to (i) persons reasonably believed to be “qualified institutional buyers” within the meaning of Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), or (ii) persons outside the United States that are not “U.S. persons” within the meaning of Regulation S under the Securities Act and that are not acquiring the Notes for the account or benefit of a U.S. person.
