"We are pleased to announce strong financial results for the third quarter and to reaffirm the midpoint for Bristow's full-year 2026 Adjusted EBITDA guidance," said Chris Bradshaw, President and CEO of Bristow Group. "The business is performing well despite significant, adverse impacts from persistent industry supply chain challenges. While we are experiencing these challenges across Bristow's business, the most acute impacts can be seen in delayed aircraft modification programs for the Company's new search and rescue contracts. These delays, and their associated knock-on effects, are depressing current margins in Bristow's Government Services business. We expect these supply chain issues to stabilize during 2027, facilitating a return to historically strong margins on these long-term government contracts. Meanwhile, the balance of Bristow's portfolio is performing well, and we maintain a very positive outlook for the business. Bristow Special Missions, formerly known as Berry Aviation, has contributed strong financial results since the acquisition closed in July, and we expect this growth to accelerate in the fourth quarter and full-year 2027. Bristow's Offshore Energy Services business has continued to demonstrate robust profitability, and we believe positive offshore energy fundamentals and the tight supply of relevant offshore helicopters combine for more favorable industry conditions than we've seen in more than a dozen years. Through the first nine months of 2026, Bristow has paid cash dividends of more than $11 million and repurchased more than $36 million of common shares, including $25 million under the Company's opportunistic share repurchase authorization."

Revenue growth

A company’s long-term performance can give signals about its business quality. Even a bad business, especially in a cyclical industry, can perform well for a year or so, but a top-tier one should exhibit resilience through cycles. Bristow Group’s 6.8% annualized revenue growth over the last five years was sluggish, falling short of our standard for the energy upstream and integrated energy sector.

Bristow Group quarterly revenue

Energy cycles can be long enough that a single five-year period can still reflect one price environment, which is why an additional, decade-long view can help capture through-cycle performance. Bristow Group’s annualized revenue growth of 0.9% over the last ten years is below its five-year trend, but the results were still respectable.

This quarter, Bristow Group’s year-on-year revenue growth was 13.4%, and its $437.9 million of revenue was in line with Wall Street’s consensus estimates.

Adjusted EBITDA margin

Adjusted EBITDA margin strips out accounting distortions tied to depletion and historical drilling spend, providing a clearer view of the cash-generating power of the underlying asset base before financing and reinvestment decisions.

Bristow Group was profitable over the last five years but held back by its large cost base. Its average EBITDA margin of 11% was among the worst in the energy upstream and integrated energy sector.

On the positive side, Bristow Group’s EBITDA margin rose by 7.3 percentage points over the last year.

Bristow Group trailing 12-month EBITDA margin

This quarter, Bristow Group reported an EBITDA margin of 20.4%, up 3 percentage points year on year. This improvement shows it was more efficient. Adjusted EBITDA beat Wall Street’s consensus estimates by 2.7%.

Free cash flow

Adjusted EBITDA shows how profitable a company’s existing wells are before financing and reinvestment decisions, but free cash flow shows how much value remains after paying the cost of replacing those wells. In upstream energy, production naturally declines over time, so companies must continuously reinvest just to stand still. A producer can report strong EBITDA margins yet generate little or no free cash flow if its wells decline quickly or if new drilling is expensive. Free cash flow therefore captures not only how efficiently a company produces hydrocarbons today, but also how costly it is to sustain that production into the future.

Bristow Group broke even from a free cash flow perspective over the last five years, giving the company limited opportunities to return capital to shareholders.

The level of free cash flow is important, but its durability across cycles is just as critical. Consistent margins are far more valuable than volatile swings driven by commodity prices.

Bristow Group’s ratio of quarterly free cash flow volatility to West Texas Intermediate, or WTI, crude price volatility over the past five years was 162.5 (lower is better), indicating that its cash generation is far more sensitive to commodity-price swings than most peers. This elevated volatility limits its access to capital in downturns and makes it unlikely to act as a consolidator when weaker competitors come under pressure.

This stability analysis compares free cash flow rather than revenue or EBITDA with WTI crude prices because what ultimately matters is not how much revenue or profit a company earns when prices are high but how much cash it can generate when prices are low. Free cash flow is the superior metric because it includes everything from hedging effectiveness to growth and maintenance capex to management behavior during good times and bad.

Bristow Group trailing 12-month free cash flow margin

Bristow Group’s free cash flow was $56.03 million in Q3, equivalent to a 12.8% margin. This was a positive result, as its margin was 7.6 percentage points higher than in the same quarter last year, building on its favorable historical trend.

Key takeaways from Bristow Group’s Q3 results

Bristow Group’s EBITDA beat analysts’ consensus estimates, but that was the bright spot in a mixed quarter: EPS missed estimates and full-year EBITDA guidance fell short of Wall Street’s consensus. Shares remained flat at $40.73 immediately after the release.
