SAN FRANCISCO, Oct. 07, 2026 (GLOBE NEWSWIRE) -- Girard Sharp LLP, a national investment, securities, and consumer class action law firm, has filed a securities class action against Blue Owl Technology Finance Corp. (“OTF”). According to the complaint, the class includes former OTF II shareholders who acquired newly issued OTF common stock in exchange for OTF II securities pursuant to the March 24, 2025 stock-for-stock transaction (the “Merger”) by which OTF merged with and acquired OTF II (the “Class”).

Blue Owl Technology Finance Corp. is a New York City-based business development company that focuses on “making debt and equity investments to U.S. technology-related companies, with a strategic focus on software.” The company states that, “As of June 30, 2026, our portfolio consisted of investments in 205 portfolio companies with an aggregate fair value of $14.7 billion.”

The complaint alleges the offering materials for the Merger “contained untrue statements of material fact, materially incomplete and misleading statements, and omitted material facts that were both required by governing regulations and necessary to make the statements made therein not misleading.”

Since March 24, 2025, the date upon which OTF issued shares to former OTF II investors, OTF’s share price has severely declined.
