Item 2.02 Results of Operations and Financial Condition.
On February 14, 2006, Sunair Services Corporation (the “Company”) issued a press release announcing
its financial results for the first quarter of fiscal 2006, a copy of which is incorporated herein
by reference and attached hereto as Exhibit 99.1.

Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
Effective February 14, 2006, the board of directors of the Company appointed Joseph Burke to the
Company’s board of directors. There are no transactions between Mr. Burke and the Company that
would require disclosure under Item 404(a) of Regulation S-B. A copy of the press release
announcing the appointment of Mr. Burke is incorporated herein by reference and attached hereto as
Exhibit 99.2.
