Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On October 26, 2007, the Board of Directors of Commerce Bancshares, Inc. adopted amendments to
Article III, Section 2 and Article V, Section 1, of the Company’s By-laws. The amendments extended
the age of director resignation from 70 to 72 and clarified the designation of Executive Officers.
The amendments became effective on the date of their adoption. A copy of the By-laws, as amended,
is attached as Exhibit 3(ii) to this Form 8-K.
