          (b) Departure of Chief Financial Officer

          Billy Dixon, Senior Vice President and Chief Financial Officer of Carriage Services, Inc. (the “Company”) resigned from the Company on August 29, 2008 to pursue other interests. The Company has decided to fill this position with an internal candidate which will be done subject to Board of Directors appointment within the next two weeks.
