EXPLANATORY NOTE

We are filing this Amendment No. 1 to our Current Report on Form 8-K originally filed with the Securities and Exchange Commission on June 29, 2011 primarily to file the complete Investment Agreements between First BanCorp (the “Corporation”) and Oaktree Capital Management, L.P. dated as of June 24, 2011, and between the Corporation and institutional investors advised by Wellington Management Company, L.L.P. dated as of June 27, 2011.

Item 1.01. Entry into a Material Definitive Agreement.

The Corporation did not identify institutional investors advised by Wellington Management Company, L.L.P. as the 9.9% investor in the body of the Form 8-K filed June 29, 2011 or in Exhibit 10.2. The Corporation is filing this amendment to disclose that institutional investors advised by Wellington Management Company, L.L.P. are, collectively, the 9.9% investor.
