Item 5.02.   Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Effective July 1, 2011, Gerald J. Colangelo resigned from his positions as a member of the Board of Directors of Grand Canyon Education, Inc. and as a member of the Board’s Audit Committee in order to focus his attention on his various interests in the sports and hospitality industries, as well as to take a more active role in promoting Grand Canyon University in Arizona and nationally.
