Annex A (pursuant to Part IV, Question 3)
The following discussion of changes in results of operations from the quarter ended June 30, 2008 to the quarter ended June 30, 2009 describes certain of the significant changes in the results of operations of Akorn, Inc. (the “Company,” “we” “our” or “us”) that are expected to be reflected in the statements of operations that are to be included in the Company’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2009:
Total revenue for the second quarter 2009 was $16.3 million, versus $21.2 million in the second quarter 2008, representing a decrease of approximately 23%. The revenue decrease was across all segments with the exception of contract manufacturing.
Gross profit for the second quarter 2009 was $1.7 million as compared to $4.8 million in the second quarter 2008, a decrease of 65%. The decrease in second quarter 2009 gross profit over the prior year period is primarily due to lower Td sales, the $1.3 million increase in our product returns reserve, and a mix shift away from higher margin antidote products and towards lower margin contract manufacturing products. Gross margin for the second quarter 2009 was 10.2%, versus 22.7% for the second quarter 2008.
Our net loss was approximately $6.6 million in the second quarter 2009 compared to a net loss of $2.8 million in the second quarter 2008.
Second quarter cash flow from operating activities was a use of $3.1 million.
