Item 8.01 Other Events.
On July 10, 2008 the Secretary of the Commonwealth of Massachusetts approved the merger of Project
Planning, Inc., (“PPI”) a Massachusetts corporation into SM&A, a Delaware corporation effective
July 3, 2008.
On July 14, 2008 the Secretary of State of California informed SM&A it approved the merger of
Performance Management Associates, Inc., (“PMA”) a California corporation into SM&A effective July
1, 2008.
PPI and PMA will operate as divisions of SM&A.
