Item 5.02.  Departure of Directors or Certain Officers: Election of Directors: Appointment of Certain Officers: Compensatory Arrangements of Certain Officers.


On March 10, 2008, National Health Investors, Inc. (the “Company”) received notice from Richard F. LaRoche, Jr. that he intends to resign from the Board of Directors of the Company (the “Board”) effective upon the earlier of the Company electing a successor Director, or March 31, 2008.  Mr. LaRoche also resigned as Secretary to the Board.  Mr. LaRoche’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
