Item 7.01 Regulation FD Disclosure.

I. Price Risk Management

With the objective of enhancing the certainty of future revenues, from time to time EOG Resources, Inc. (EOG) enters into New York Mercantile Exchange related financial commodity collar and price swap contracts. In addition to these financial transactions, EOG is a party to various physical commodity contracts for the sale of hydrocarbons that cover varying periods of time and have varying pricing provisions. The financial impact of these various physical commodity contracts is included in revenues at the time of settlement, which in turn affects average realized hydrocarbon prices.

II. 2006 First Quarter Financial Commodity Contracts

For the first quarter of 2006, EOG anticipates a gain of $107 million from mark-to-market financial commodity collar and price swap contracts compared to a loss of $0.9 million for the prior year period. During the first quarter of 2006, the net cash inflow related to settled natural gas financial collar and price swap contracts was $30.1 million compared to a net cash inflow related to settled natural gas financial collar contracts of $9.8 million for the prior year period.

III. 2006 Natural Gas Financial Collar Contracts and Natural Gas Financial Price Swap Contracts

(a) Natural Gas Financial Price Swap Contracts

Since EOG filed its Annual Report on Form 10-K on February 22, 2006, EOG has entered into natural gas financial price swap contracts covering average notional volumes of 41,057 million British thermal units per day (MMBtud) for the period July 2006 through October 2006 at an average price of $8.02 per million British thermal units (MMBtu). EOG accounts for these financial price swap contracts using the mark-to-market accounting method.
