Results of Operations and Financial Condition.

On February 14, 2012, EMCORE Corporation (the “Registrant”) issued a press release disclosing its unaudited financial results for its first quarter ended December 31, 2011. A copy of this press release is attached as Exhibit 99.1 to this Current Report.
