ITEM 2.02                      Results of Operations and Financial Condition.

On October 10, 2007, EMCORE Corporation (the “Registrant”) issued a press release disclosing its unaudited financial results for the third quarter of fiscal 2007 ended June 30, 2007.  A copy of this press release is attached as Exhibit 99.1 to this Current Report.
