Item 8.01.  Other Events.
 
On May 29, 2012, Trustmark Corporation, a Mississippi corporation (“Trustmark”), issued a joint press release with BancTrust Financial Group, Inc. (“BancTrust”) announcing the execution of an Agreement and Plan of Reorganization, dated May 28, 2012, by and between Trustmark and BancTrust (the “Merger Agreement”).  A copy of the press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
 
In addition, on May 29, 2012, Trustmark provided supplemental information regarding the transactions contemplated by the Merger Agreement in connection with a presentation to analysts and investors.  A copy of the presentation is attached as Exhibit 99.2 hereto and is incorporated by reference herein.
