ITEM 8.01.

Other Events.

 

On July 27, 2007, Chevron Nigeria, Ltd., Snamprogetti, and KBR, Inc.’s participating subsidiaries agreed to an amendment of the Escravos, Nigeria gas to liquids project, which effectively converts the contract from a fixed-price to a cost reimbursable contract. The amendment is effective as of the original contract date and contains client determined incentives. At conversion, KBR’s net financial impact is approximately positive $3 million before taxes and minority interests.
