State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-QSB, N-SAR or the transition report portion thereof could not be filed within the prescribed time period.
 
The Registrant was unable to timely file the Form 10-QSB for the quarter ended September 30, 2005 via the EDGAR online system in a timely manner due to problems connecting to the SEC website.  Although the Registrant attempted to file timely, the time stamp on the Acceptance acknowledgement indicated that the filing had been processed two minutes after the time it was due.
      
As such, the Registrant has filed its Form 10-QSB within the five-day grace period provided by Exchange Act Rule 12b-25.
