Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 14, 2013, Michael R. Sisk notified BofI Holding, Inc. and its subsidiary BofI Federal Bank (collectively, the “Company”) that he intends to resign as Senior Vice President, Chief Accounting Officer (“principal accounting officer”) of the Company, effective May 24, 2013. Mr. Sisk informed the Company that he has accepted another position outside of the Company.
Andrew J. Micheletti, the Company's Executive Vice President and Chief Financial Officer, will perform the responsibilities of principal accounting officer of the Company upon the departure of Mr. Sisk.
