Remarks: The issuer, a New Jersey-based bank holding company, had limited operational capabilities (including extended periods without communications and electricity) through November 5, 2012 as a result of Hurricane Sandy, and accordingly was not able to timely file the original Form 4 on behalf of the reporting person. Accordingly, the reporting person is relying upon SEC Rel. No. 34-68224 (Nov. 14, 2012) in seeking an exemption from the filing requirements under Section 16(a) of the Securities Exchange Act of 1934 and SEC Rule 16a-3. |
