EXPLANATORY NOTE
This Amendment No. 1 to Current Report on Form 8-K (this “Form 8-K/A”) amends the Current Report on Form 8-K of Sanderson Farms, Inc. (the “Registrant”) filed with the Securities and Exchange Commission on July 26, 2017 (the “Original Form 8-K”), which reported the appointment of Suzanne T. Mestayer to serve as a Class B director of the Registrant effective as of July 20, 2017. Pursuant to Instruction 2 to Item 5.02 of Form 8-K, this Form 8-K/A is being filed solely to provide information called for in Item 5.02(d)(3) of Form 8-K that had not been determined at the time of filing of the Original Form 8-K.

On January 19, 2018, the Board of Directors of the Registrant appointed Ms. Mestayer to its Audit Committee and Nominating and Governance Committee. The Board of Directors also appointed Ms. Mestayer to be the Vice Chair of the Audit Committee.
