Item 7.01. Regulation FD Disclosure.

On July 20, 2017, XPO Logistics, Inc. (the “Company”) issued a press release announcing that the Company had priced 11,000,000 shares of its common stock in a registered underwritten offering at $60.50 per share. 6,000,000 of the 11,000,000 shares in the offering will be subject to forward sale agreements. The Company also granted the underwriters a 30-day option to purchase up to 1,650,000 additional shares.

A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated by reference herein.
