Item 7.01 Regulation FD Disclosure.

As previously reported, on September 27, 2015, Kraton Polymers LLC (the “Company”), a wholly-owned subsidiary of Kraton Performance Polymers, Inc. (“KPPI” and, together with its wholly-owned subsidiaries, “Kraton”), entered into a definitive agreement (the “Stock Purchase Agreement”) with AZC Holding Company LLC, a Delaware limited liability company, and Arizona Chemical Holdings Corporation, a Delaware corporation (“Arizona Chemical”). Pursuant to the Stock Purchase Agreement, the Company will acquire all of the outstanding capital stock of Arizona Chemical for a cash purchase price of $1.37 billion (the “Arizona Chemical Acquisition”).

Attached as Exhibits 99.1, 99.2 and 99.3 to this Current Report on Form 8-K and incorporated by reference in this Item 7.01 is selected information contained in a confidential offering circular that the Company expects to provide to certain investors in a private offering of debt securities in connection with the consummation of the pending Arizona Chemical Acquisition. On December 7, 2015, the Company issued a press release announcing the commencement of a private offering, with its wholly-owned subsidiary, Kraton Polymers Capital Corporation, of $425 million in aggregate principal amount of senior notes due 2023 (the “Notes”). Attached as Exhibit 99.4 to this Current Report on Form 8-K and incorporated by reference in this Item 7.01 is the press release announcing the Notes offering.
