INTRODUCTION
This Registration Statement on Form S-8 is filed with the U.S. Securities and Exchange Commission (the Commission) by The Williams Companies, Inc., a Delaware corporation (the Company or the Registrant), relating to the registration of (i) an additional 10,000,000 shares (the Shares) of the Companys common stock, par value $1.00 per share (the Common Stock), which may be issued to eligible employees in accordance with the terms of the Companys 2007 Incentive Plan, and (ii) an additional 1,600,000 shares of Common Stock, which may be issued to eligible employees in accordance with the terms of the Companys 2007 Employee Stock Purchase Plan. Pursuant to General Instruction E to Form S8, the Company hereby incorporates by reference the Registration Statements on Form S-8 filed with the Commission on May 15, 2007 (Reg.
