On March 12, 2014, Sprouts Farmers Market, Inc. (the “Company”) entered into an amendment (the “Amendment”) to its employment agreement (the “Agreement”) dated April 18, 2011 (the “Effective Date”) with James Nielsen, the Company’s Chief Operating Officer, to revise the term of the Agreement to extend automatically for one additional year on each anniversary of the Effective Date, unless during the 30-day period prior to any such anniversary, the Company or Mr. Nielsen notifies the other not to have the term so extended. All other provisions of the Agreement remain unchanged.
