On January 21, 2014, BGC Partners, Inc. (“BGC Partners,” “BGC” or the “Company”) issued a press release announcing that it has entered into a definitive agreement to acquire the business of Cornish & Carey Commercial, Inc., a Northern California-based commercial real estate brokerage firm.

A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
