Item 2.02. Results of Operations and Financial Condition.

On May 1, 2013, Manning & Napier, Inc. (the “Company”) issued a press release announcing certain consolidated financial and operating results for the three-month period ended March 31, 2013. In the press release, the Company also announced that beginning with the first fiscal quarter financial results, the Company changed the presentation of certain items within its consolidated statements of operations. A copy of the press release is attached hereto as Exhibit 99 and incorporated herein by reference.
