Explanatory Note
This Current Report on Form 8-K/A is being filed as an amendment (Amendment No. 1) to the Current Report on Form 8-K filed by Natus Medical Incorporated (the Company) with the U.S. Securities and Exchange Commission on June 3, 2011 (Original Filing). The sole purpose of this Amendment No. 1 is to disclose the Companys decision as to how frequently it will conduct future stockholder votes on executive compensation. No other changes have been made to the Original Filing.

At the Companys 2011 Annual Stockholders Meeting held on June 2, 2011, the Companys stockholders voted on, among other matters, a proposal on the frequency of future stockholder votes on executive compensation. As previously reported by the Company, a frequency of every One Year received the highest number of votes on the proposal. Based on these results and other factors considered by the Companys Board of Directors, the Company will conduct stockholder votes on executive compensation every year until the next required vote on the frequency of stockholder votes on executive compensation. The Company is required to hold votes on frequency every six years.
