On April 28, 2011, Exelon sent the following message to certain of its Pennsylvania stakeholders.

I want to personally reach out and share the exciting merger news we announced this week.

Exelon has reached a definitive agreement to acquire Constellation Energy Group, creating the number one competitive energy provider in the nation. If you’re not familiar with Constellation, they are the nation’s leading supplier of competitive power and natural gas and energy products and services for home and business, with customers in 38 states, plus Washington, DC. They also have more than 12,000 megawatts of generating capacity and own Maryland’s largest utility – Baltimore Gas and Electric Company (BGE).

Following the completion of the merger, the combined company will continue to have the Exelon name – and it will be poised for future growth through an unmatched combination of the nation’s largest clean energy fleet with the nation’s leading competitive retail/wholesale energy business.

I’ve attached the news release we distributed on this merger, but here are a few important details for Pennsylvania:

 

   

Though there will be moves into and out of Pennsylvania related to this merger, we expect Exelon employment in the state (approximately 6,200 jobs) to remain stable, with jobs moving to Baltimore offset by transfers to Pennsylvania from other states.

 

   

Pennsylvania will remain the headquarters of PECO; jobs at PECO and at Exelon’s nuclear plants in Pennsylvania will not be affected by the merger.

 

   

Exelon’s facility in Kennett Square will remain a large and vital headquarters facility. It will continue to be the headquarters of Exelon Power, and will become the headquarters of Exelon Nuclear, with the associated growth in jobs transferred from Illinois. Exelon Power Team will transition over the next 2-3 years to a new headquarters in Baltimore.

Between now and our expected closing in the first quarter of 2012, we will be reaching out to key stakeholders, including federal and state regulators, to share information about the merger and demonstrate the value it brings.
