Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective January 27, 2011, Dennis Zeleny was elected to the Board of Directors of Sunoco Partners LLC (the “Company”), the general partner of Sunoco Logistics Partners L.P. (the “Partnership”), at a meeting of the Board of Directors held on that date. Mr. Zeleny will serve as a director of the Company until such time as his successor is elected or qualified. At this time, the Company’s Board of Directors has not appointed Mr. Zeleny to serve on any Board committees.

Mr. Zeleny is currently the Vice President and Chief Human Resources Officer of the Company, and Senior Vice President and Chief Human Resources Officer of Sunoco, Inc. There are no arrangements or understandings between Mr. Zeleny and any other persons, other than Sunoco, Inc., pursuant to which he was elected as a director. Mr. Zeleny has not entered into any agreement or transaction with the Company or the Partnership in which he has, or will have a direct or indirect material interest.
