REMOVAL OF SECURITIES FROM REGISTRATION

On August 13, 1998, SofTech, Inc. (the “Company”) filed a Registration Statement on Form S-8 (File No. 333-61417) (the “Registration Statement”) with the Securities and Exchange Commission with respect to 150,000 shares of the Company’s common stock, par value $0.10 per share (the “Common Stock”), registered for issuance under the SofTech, Inc. Employee Stock Purchase Plan (the “Plan”).

This Post-Effective Amendment No. 1 is being filed to remove from registration the Common Stock registered with respect to the Plan and plan interests not heretofore sold pursuant to the Registration Statement. The Registration Statement is hereby amended, as appropriate, to reflect the deregistration of such Common Stock and plan interests.
