Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 12, 2008, we entered into an amendment to the employment agreement of Helen S. Barold, M.D., M.P.H. FACC, FHRS, our Chief Medical Officer, to provide that Dr. Barold is also entitled to the severance benefits provided in her existing employment agreement if she chooses to end her employment with us between April 30, 2008 and May 31, 2008 for any reason, as well as in circumstances that were already provided for in her existing employment agreement.
