Item 1.01 Entry into a Material Definitive Agreement.

On December 13, 2006, Tempur-Pedic International Inc. (the “Company”) entered into Amendment No. 2 and Consent to its Credit Agreement dated as of October 18, 2005, as amended, with Bank of America, N.A., Nordea Bank Danmark A/S, Fifth Third Bank, SunTrust Bank, JPMorgan Chase Bank, N.A. and Wells Fargo Bank, N.A. to allow for the purchase, redemption or prepayment on the Company’s Senior Subordinated Notes and to increase the Domestic Revolving Loans commitments by $70,000,000 for an aggregate amount of $324,000,000.
