Item 2.02 Results of Operation and Financial Condition

On October 11, 2006 Convergys Corporation updated its guidance for the third quarter 2006. Convergys expects net revenues to exceed $700 million and earnings per diluted share of $0.30 or more in the third quarter 2006.

Convergys had previously said it expected earnings per diluted share to be $0.27 to $0.28 for the third quarter.
