ITEM 9.01. Financial Statements and Exhibits

The Purchase Agreement for the offering of $215 million principal amount of 7  3/4% Senior Notes due 2016 (the “Senior Notes”) of FTI Consulting, Inc. (“FTI”), which is filed as Exhibit 1.1 to this amended Current Report on Form 8-K/A dated September 27, 2006, corrects a typographical error in and supersedes and replaces the Purchase Agreement filed as Exhibit 1.1 to FTI’s amended Current Report on Form 8-K/A dated September 27, 2006 filed with the Securities and Exchange Commission on October 2, 2006.
