Item 7.01. Regulation FD Disclosure

On May 22, 2006, Tempur-Pedic International Inc. issued a press release announcing that its board of directors had increased the total authorization under its share repurchase program by an additional $40 million, for a total authorization of $220 million. A copy of this press release is furnished as Exhibit 99.1 to this report.
