Item 1.01. Entry into a Material Definitive Agreement.
On January 9, 2006, Shiloh Industries, Inc. (the “Company”) entered into the Theodore K. Zampetis Amended and Restated Supplemental Executive Retirement Plan (the “Plan”) with Theodore K. Zampetis, the Company’s President and Chief Executive Officer.
The Plan was amended and restated in response to the passage of the American Jobs Creation Act of 2004 and to comply with Internal Revenue Code Section 409A, as amended.
The foregoing description of the Plan does not purport to be complete, and is qualified in its entirety by reference to the full text of the Plan, a copy of which is filed as Exhibit 10.1 hereto and is incorporated herein by reference.
