Item 2.02. Results of Operations and Financial Condition.
On February 24, 2005, Catalyst Semiconductor, Inc. issued a press release
announcing its financial results for its second fiscal quarter ended January 31,
2005. A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K.

On February 24, 2005, Catalyst Semiconductor, Inc. also announced that its
Board of Directors increased its share repurchase authorization by 500,000
shares to 3.5 million shares, of which 2.6 million shares have been acquired
since its share repurchase program began in 2001. A copy of the press release is
