Item 1.01 Entry Into a Material Definitive Agreement

On March 4, 2010, Overseas Shipholding Group, Inc. (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with Goldman, Sachs & Co. (the “Underwriter”) in connection with the public offering of 3,500,000 shares of the Company’s common stock, par value $1.00 per share, at a price per share of $45.33.

The Underwriting Agreement contains customary representations, warranties and agreements of the Company and customary conditions to closing, indemnification rights and obligations of the parties. The closing of the transaction contemplated by the Underwriting Agreement is expected to occur on March 9, 2010.

The offering is being made pursuant to an effective shelf registration statement (File No. 333-165213, the “Registration Statement”).
