Item 1.01                      Entry into a Material Definitive Agreement

On January 21, 2010, Hallmark Financial Services, Inc. and each of its subsidiaries entered into a Sixth Amendment to First Restated Credit Agreement (the “Sixth Amendment”) with The Frost National Bank in order to extend certain expiration, maturity and termination dates for a period of 120 days.  The foregoing description of the Sixth Amendment is qualified in its entirety by reference to the definitive agreement filed as an exhibit to this Current Report on Form 8-K and incorporated herein by this reference.
