This Amendment No. 1 amends the Schedule 13D filed on May 7, 2007 (such initial filing, the "Prior Filing") by Citadel Limited Partnership, an Illinois limited partnership ("CLP"), Citadel Investment Group, L.L.C., a Delaware limited liability company ("CIG"), Kenneth Griffin, a natural person ("Griffin"), Citadel Equity Fund Ltd., a Cayman Islands company ("CEF"), and Citadel Derivatives Group LLC, a Delaware limited liability company ("CDG," and collectively, together with CLP, CIG, Griffin and CEF, the "Reporting Persons"), relating to the Common Stock, $0.01 par value (the "Common Stock"), of 3Com Corporation, a Delaware corporation (the "Issuer").

ITEM 3. SOURCE AND AMOUNT OF FUNDS OR OTHER CONSIDERATION

Item 3 of the Prior Filing is amended by deleting the first sentence thereof and restating it as follows: "The Reporting Persons utilized available cash assets in the aggregate amount of approximately $160 million to acquire beneficial ownership of the 39,085,937 shares of Common Stock of the Issuer reported herein."

ITEM 4. PURPOSE OF TRANSACTION

Item 4 of the Prior Filing is amended by adding the following prior to the last paragraph:

"On May 21, 2007, representatives of CIG met with senior officers of the Issuer at the request of CIG. At this meeting, the parties discussed CIG's views regarding various aspects of the Issuer's corporate strategy including the Issuer's Huawei relationship, the Issuer's TippingPoint business and the Issuer's SCN business. Following the May 21 meeting, CIG sought to schedule further discussions with the Issuer regarding alternatives to increase shareholder value, but no further substantive discussions have been held as of the date of this filing."

ITEM 5. INTEREST IN SECURITIES OF THE ISSUER

Items 5(a) and (b) of the Prior Filing are amended and restated in their entirety as follows:

Item 5(c) is amended by replacing the entire text of Item 5(c) with the following language, and by adding the transactions listed on Schedule B-1 attached hereto to the bottom of table attached as Schedule B to the Prior Filing:

(c) The table attached hereto as Schedule B sets forth the transactions effected by the Reporting Persons in the shares of Common Stock of the Issuer and options to purchase such Common Stock (i) during the 60 days prior to and through 12:00 p.m. (CDT) on the date of the filing of the Prior Filing, and (ii) during the days beginning on and including the date of the Prior Filing and through 11:00 a.m. (CDT) on the date of the filing of Amendment No. 1. to the Prior Filing.

Schedule B to the Prior Filing is hereby amended by replacing the first sentence of the first paragraph thereto with the following sentence:

"During (i) the 60 days prior to and through 12:00 p.m. (CDT) on the date of the filing of the Prior Filing, and (ii) during the days beginning on and including the date of the Prior Filing and through 11:00 a.m. (CDT) on the date of the filing of Amendment No. 1 to the Prior Filing, Citadel Derivatives Group LLC ("CDG") and Citadel Equity Fund Ltd. ("CEF") effected the following open market transactions in the Common Stock or options to purchase such Common Stock of the Issuer."
