This supplement contains information which amends, supplements or modifies certain information contained in the Prospectus of Main Street Capital Corporation (the “Company”) dated April 27, 2018 (the “Prospectus”), as supplemented by the Prospectus Supplement dated May 8, 2018 (the “DSPP Prospectus Supplement”) and the Prospectus Supplement dated May 10, 2018 (the “ATM Prospectus Supplement” and, together with the DSPP Prospectus Supplement, the “Prospectus Supplements”), each as further supplemented from time to time including hereby. On May 10, 2018, we established an at-the-market program to which the ATM Prospectus Supplement relates and through which we may sell, from time to time and at our sole discretion up to 4,500,000 shares of our common stock. As of January 14, 2019, we sold 1,607,184 shares of our common stock for net proceeds of approximately $61.3 million, after commissions to the Sales Agents on shares sold and offering costs, under the at-the-market program. As of January 14, 2019, there were 2,892,816 shares of our common stock available for sale under the at-the-market program.


On July 18, 2017, we established a Dividend Reinvestment and Direct Stock Purchase Plan (the “Plan”), which includes the direct stock purchase feature to which the DSPP Prospectus Supplement relates.  We are offering up to 1,000,000 shares of our common stock pursuant to the DSPP Prospectus Supplement, and, from May 8, 2018 through January 14, 2019, we sold 7,432 shares of our common stock for gross proceeds of approximately $0.3 million thereunder. As of January 14, 2019, there were 992,568 shares of our common stock available for sale under the DSPP Prospectus Supplement.




On January 17, 2019, we filed a Current Report on Form 8-K (the “Report”) with the Securities and Exchange Commission. We have attached the Report as Annex A to this supplement.

HOUSTON — January 17, 2019 — Main Street Capital Corporation (NYSE: MAIN) (“Main Street”) is pleased to announce its preliminary operating results for the fourth quarter of 2018, the tax treatment of its 2018 dividends and its fourth quarter and full year 2018 earnings release and conference call schedule.


Preliminary Estimates of Fourth Quarter 2018 Results


Main Street’s preliminary estimate of fourth quarter 2018 net investment income (“NII”) is $0.68 to $0.69 per share.  Main Street’s preliminary estimate of fourth quarter 2018 distributable net investment income (“DNII”), which is NII before non-cash, share-based compensation expense, is $0.71 to $0.72 per share.(1)   The preliminary estimates of NII per share and DNII per share each include a non-recurring benefit of approximately $0.03 per share related to lower operating expenses.  The preliminary estimate of DNII of $0.71 to $0.72 per share, or $0.68 to $0.69 per share as adjusted for the non-recurring benefit of $0.03 per share, significantly exceeds both the regular monthly dividends paid for the fourth quarter of 2018 of $0.585 per share and the previously provided DNII guidance range for the fourth quarter of 2018 of between $0.63 and $0.65 per share.


Main Street’s preliminary estimate of net asset value (“NAV”) per share as of December 31, 2018 is $24.04 to $24.14.  After adjustment for the semi-annual supplemental dividend paid in December 2018



of $0.275 per share, this represents a decrease of approximately $0.28 to $0.38 per share, or 1.1% to 1.5%, from the reported NAV per share of $24.69 as of September 30, 2018.  Main Street estimates that the decrease in NAV per share is primarily due to net unrealized depreciation relating to its Middle Market and Private Loan portfolio investments, which Main Street believes is in large part due to the widening of middle market credit spreads during the fourth quarter.  This net unrealized depreciation is partially offset by net unrealized appreciation relating to its Lower Middle Market portfolio investments.


Federal Tax Treatment of 2018 Dividends


Main Street has posted information regarding the U.S. federal income tax characteristics of its dividends that are attributable to 2018 on its website under “2018 Form 1099 Information” (  Main Street paid dividends totaling $2.85 per share that are attributable to 2018 for tax purposes, with approximately 13.2% of such dividends taxed as long-term capital gains, approximately 7.2% taxed as qualified dividends and approximately 79.6% taxed as ordinary income.  Long-term capital gains and qualified dividends paid to non-corporate taxpayers (including individuals) qualify for favorable tax treatment under the Internal Revenue Code (“IRC”) and, for 2018, will generally be subject to a maximum 20% U.S. federal income tax rate (plus a 3.8% Medicare surtax, if applicable).


Federal Tax Treatment of 2018 Dividends — Non-U.S. Shareholders


Non-U.S. resident and foreign corporation shareholders (“Non-U.S. Shareholders”) in a Regulated Investment Company (“RIC”) such as Main Street are exempt from U.S. withholding tax on both “interest-related” dividends and short-term capital gains in accordance with the IRC sections 871(k) and 881(e).  In addition, Non-U.S. Shareholders in a RIC are also exempt from U.S. withholding tax on long-term capital gains.  Main Street paid dividends totaling $2.85 per share that are attributable to 2018 for tax purposes, with approximately 62.1% of such dividends relating to “interest-related” dividends, short-term capital gains and long-term capital gains. Fourth Quarter and Full Year 2018 Earnings Release and Conference Call Scheduled
