Section 1-Registrant’s Business and Operations

 

Item 1.01.                                        Entry into a Material Definitive Agreement

 

On October 26, 2016, American States Water Company executed a Fifth Amendment to its Amended and Restated Credit Agreement dated as of June 3, 2005 (the “Credit Agreement”) among American States Water Company, as Borrower, and Wells Fargo Bank, National Association, as Administrative Agent and Sole Bank.  The provisions of the Fifth Amendment are described in Item 2.03.  The Amended and Restated Credit Agreement, as amended, is attached hereto as Exhibit 10.1.

 

Item 2.03.                                        Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

 

On October 26, 2016, the Company entered into a Fifth Amendment to its Credit Agreement in order to increase the aggregate commitment by an additional $50,000,000.  The Company may, under the terms of the Fifth Amendment, borrow up to $150,000,000.
