Item 8.01. Other Events.
PepsiCo Senior Notes Offering.
On April 27, 2015, PepsiCo, Inc. (PepsiCo) announced an offering of $250,000,000 aggregate principal amount of its Floating Rate Notes due 2018 (the 2018 Floating Rate Notes), $500,000,000 aggregate principal amount of its 1.250% Senior Notes due 2018 (the 2018 Notes), $750,000,000 aggregate principal amount of its 1.850% Senior Notes due 2020 (the 2020 Notes) and $1,000,000,000 aggregate principal amount of its 2.750% Senior Notes due 2025 (the 2025 Notes and, together with the 2018 Notes and 2020 Notes, the Fixed Rate Notes). The 2018 Floating Rate Notes and the Fixed Rate Notes are collectively referred to as the Notes. Citigroup Global Markets Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Morgan Stanley & Co. LLC were joint bookrunners for the offering of the Notes.
The public offering price of the 2018 Floating Rate Notes was 100.000% of the principal amount, the public offering price of the 2018 Notes was 99.988% of the principal amount, the public offering price of the 2020 Notes was 99.943% of the principal amount and the public offering price of the 2025 Notes was 99.584% of the principal amount. PepsiCo received net proceeds of approximately $2,486 million, after deducting underwriting discounts and estimated offering expenses payable by PepsiCo. The net proceeds will be used for general corporate purposes, including the repayment of commercial paper. The Notes were offered and sold pursuant to a Terms Agreement (the Terms Agreement) dated April 27, 2015 (incorporating the Underwriting Agreement Standard Provisions dated April 27, 2015) among PepsiCo and the representatives of the several underwriters, under PepsiCos automatic shelf registration statement (the Registration Statement) on Form S-3 (Registration No. 333-197640), filed with the Securities and Exchange Commission (the SEC) on July 25, 2014. PepsiCo has filed with the SEC a prospectus supplement, dated April 27, 2015, together with the accompanying prospectus, dated July 25, 2014, relating to the offer and sale of the Notes.
The Notes were issued on April 30, 2015 pursuant to an Indenture (the Indenture) dated as of May 21, 2007 between PepsiCo and The Bank of New York Mellon, as Trustee. The 2018 Floating Rate Notes will bear interest at the rate of LIBOR plus 17 basis points, with interest payable on April 30, July 30, October 30 and January 30 of each year, beginning on July 30, 2015, and will mature on April 30, 2018. The 2018 Floating Rate Notes are not redeemable. The 2018 Notes will bear interest at the rate of 1.250% per year, with interest payable on April 30 and October 30 of each year, beginning on October 30, 2015, and will mature on April 30, 2018. Prior to April 30, 2018, PepsiCo will be able to redeem some or all of the 2018 Notes at any time and from time to time at the greater of 100% of the principal amount of the 2018 Notes being redeemed and the discounted present value of such Notes, discounted at the corresponding U.S. Treasury rate plus 10 basis points. The 2020 Notes will bear interest at the rate of 1.850% per year, with interest payable on April 30 and October 30 of each year, beginning on October 30, 2015, and will mature on April 30, 2020. Prior to March 30, 2020, PepsiCo will be able to redeem some or all of the 2020 Notes at any time and from time to time at the greater of 100% of the principal amount of the 2020 Notes being redeemed and the discounted present value of such Notes, discounted at the corresponding U.S. Treasury rate plus 10 basis points. On or after March 30, 2020, PepsiCo will be able to redeem some or all of the 2020 Notes at any time and from time to time at a redemption price equal to 100% of the principal amount of the 2020 Notes being redeemed, plus accrued and unpaid interest to the date of redemption. The 2025 Notes will bear interest at the rate of 2.750% per year, with interest payable on April 30 and October 30 of each year, beginning on October 30, 2015, and will mature on April 30, 2025. Prior to January 30, 2025, PepsiCo will be able to redeem some or all of the 2025 Notes at any time and from time to time at the greater of 100% of the principal amount of the 2025 Notes being redeemed and the discounted present value of such Notes, discounted at the corresponding U.S. Treasury rate plus 15 basis points. On or after January 30, 2025, PepsiCo will be able to redeem some or all of the 2025 Notes at any time and from time to time at a redemption price equal to 100% of the principal amount of the 2025 Notes being redeemed, plus accrued and unpaid interest to the date of redemption. The Notes are unsecured obligations of PepsiCo and rank equally with all of PepsiCos other unsecured senior indebtedness. The Indenture also contains customary event of default provisions.
