Item 5.02.                                        Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On January 9, 2014, Penn National Gaming, Inc. (the “Company”) announced the appointment of Jay A. Snowden, age 37, who has served the Company as Senior Vice President, Regional Operations since October 2011, as the Company’s Chief Operating Officer, effective immediately, subject to customary regulatory approvals.

 

The summary of the material terms of the Employment Agreement with Mr. Snowden are described in the Company’s definitive proxy statement for its 2012 Annual Meeting of Shareholders, which was filed with the Securities and Exchange Commission pursuant to Regulation 14A under the Securities Exchange Act of 1934, as amended, on April 30, 2012 and which is incorporated herein by reference. The Company’s press release dated January 9, 2014 announcing the appointment of Mr. Snowden as described above is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
