Item 8.01               Other Events.

 

On January 31, 2006, plaintiff Matt Brody, on behalf of himself and purportedly on behalf of a class of others similarly situated, filed a complaint in the United States District Court for the Southern District of California against us, two of our directors and three of our executive officers.  The complaint alleges violations of federal securities laws related to alleged inflation in our stock price in connection with various statements and alleged omissions to the public and to the securities markets and declines in our stock price in connection with the restatement of certain of our quarterly financial statements for fiscal year 2004, and seeking damages therefore.  We believe the allegations in this action are without merit and intend to vigorously defend against these claims.
