SmartCard Marketing Systems Inc. (PINKSHEETS:SMKG) announced today the expiry of the Poison Pill put in place in mid 2009. The Poison Pill was placed as a pre-emptive measure to eliminate the purchasing of a control position by existing competitors, in order to forcefully privatize the company.

CEO Massimo Barone stated, “During the last 2 years, our company has benefited from accelerated growth with limited appreciation of our common share price, thus not creating value for our existing shareholders. Insiders as well as some current shareholders have taken advantage of this situation further increasing their positions. The current strength of the Canadian dollar has also contributed to their desire to further accumulate additional shares. As a result of the share price I have initiated discussions with a handful of established and reputable business appraisal firms with the expertise and knowledge to properly evaluate SmartCard Marketing Systems Inc, its technology and its current client base. This will provide a basis to our existing and potential shareholders to properly evaluate the true value of the company.

“In the event of a takeover bid or an acquisition for privatization the evaluation will provide a basis for reference so as to not understate our true value.
