Item 1.01 Entry into a Material Definitive Agreement

On June 27, 2005, the Organization and Compensation Committee of the Board of Directors of The Lubrizol Corporation approved the following base salary increases of the executive officers who were named in the Summary Compensation Table of The Lubrizol Corporation’s 2005 Proxy Statement:
