Item 8.01.   Other Events

          On March 23, 2007, Lime Energy Co. (the “Registrant”) issued a press release announcing that it has extended its rights offering by one week. As a result of this extension, stockholders eligible to participate in the rights offering will now have until 5:00 pm, New York time on March 30, 2007 to exercise their subscription rights. A copy of the press release is attached as Exhibit 99.1.

          The information in this Form 8-K is being furnished and shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section.
