Item 12. Results of Operations and Financial Condition.

     On October 27, 2003, NaviSite, Inc. (the “Registrant”) issued a press release regarding its results of operations for its fiscal fourth quarter and fiscal year ended July 31, 2003. A copy of the press release issued by the Registrant concerning the foregoing results is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
